Terms governing the VertexY platform, APIs, dashboard, documentation, and public sandbox.

Agreement and Definitions

These Terms govern access to and use of the VertexY website, APIs, dashboard, documentation, and related services. By creating an account, accessing the service, or using the public sandbox, you agree to them. If you accept on behalf of an organization, you confirm you are authorised to bind it.

  • “Service” means the VertexY platform, APIs, dashboard, and documentation.
  • “Customer” means the organization that holds the subscription.
  • “Customer Data” means data a Customer submits to the Service for assessment.
  • “Assessment” means the risk score, reason codes, and recommended action returned by the Service.
  • “Sandbox” means the interactive demonstration on our public website.

Accounts and Eligibility

The Service is offered to organizations, not consumers, and you must be able to form a binding contract to use it. You are responsible for the accuracy of your account details, for the security of your credentials and API secrets, and for all activity under your account.

Tell us promptly at support@getvertexy.com if you suspect unauthorised access. Administrators are responsible for the roles and permissions they grant to their users.

What the Service Does and Does Not Do

VertexY returns a recommendation. It does not execute your business decision. You decide whether to allow, review, or decline, and you remain responsible for that outcome and for any customer-facing consequence of it.

  • Assessments are probabilistic and will produce both false positives and false negatives.
  • The Service is not a credit-reporting, identity-verification, background-screening, or legal-compliance product, and must not be used as one.
  • You are responsible for ensuring your use of Assessments complies with the laws that apply to you, including any obligation to provide human review or an explanation to an affected person.
  • AI assistance features generate drafts for human review. They do not alter scores, actions, reviews, or policy.

Public Sandbox

The Sandbox exists so you can evaluate the engine before speaking to us. It runs the same scoring code as the product against synthetic data that we generate.

  • Do not submit real, personal, or confidential data to the Sandbox. It is not designed to receive it.
  • Sandbox runs are not stored and produce no record tied to you or to any customer tenant.
  • Sandbox results illustrate engine behaviour on synthetic inputs. They are not a benchmark, a performance guarantee, or a prediction of results on your traffic.
  • The Sandbox is rate limited and provided without any availability commitment. We may change or withdraw it at any time.
  • Do not attempt to overload, scrape, reverse-engineer, or circumvent the limits on the Sandbox.

Acceptable Use

You may not, and may not permit anyone else to:

  • Use the Service unlawfully, or to discriminate against a person on a basis prohibited by applicable law.
  • Submit data you lack the rights or lawful basis to submit, or send special-category data, government identifiers, full payment card numbers, or credentials.
  • Attempt to access another tenant’s data, or to probe, scan, or bypass authentication, authorization, or rate limiting.
  • Reverse-engineer, decompile, or copy the Service, or use it to build a competing product.
  • Resell or provide the Service to a third party except as expressly permitted in your subscription.
  • Interfere with the integrity or performance of the Service, or use it to transmit malware.

API Use, Rate Limits and Fair Use

API access is subject to rate limits and the usage entitlements of your plan. We may apply limits to protect availability for all customers. You are responsible for handling rate-limit and error responses, and for using idempotency keys where the documentation calls for them.

Sustained use materially beyond your plan entitlements may result in additional charges, throttling, or a request to move to a suitable plan.

Fees, Billing and Renewal

Paid subscriptions are billed through our payment provider on the interval shown at checkout. Fees are stated exclusive of taxes unless indicated otherwise, and you are responsible for applicable taxes.

  • Subscriptions renew automatically for successive terms unless cancelled before the renewal date.
  • Cancellation takes effect at the end of the current billing period; access continues until then.
  • Fees already paid are non-refundable except where required by law or expressly agreed in writing.
  • We may change pricing with notice; changes take effect at the start of the next billing period.
  • If payment fails or an account falls into arrears, we may suspend access after notice.

Customer Data and Privacy

As between the parties, the Customer owns Customer Data. You grant VertexY the rights needed to host, process, and transmit it in order to provide the Service, and to produce aggregated statistics that do not identify you or any individual.

Our handling of personal information is described in the Privacy Policy. Where VertexY processes personal information on your behalf, a data processing addendum is available on request and governs that processing.

You are responsible for having a lawful basis to submit Customer Data and for providing any notice or obtaining any consent your own users require.

Intellectual Property and Feedback

VertexY and its licensors retain all rights in the Service, including its software, models, documentation, and branding. Nothing in these Terms transfers those rights to you beyond the limited right to use the Service during your subscription.

If you send us feedback or suggestions, we may use them without restriction or obligation to you.

Confidentiality

Each party may receive non-public information from the other. The receiving party will use it only to perform under these Terms, protect it with at least reasonable care, and not disclose it except to personnel and advisers bound by similar obligations, or where legally compelled after giving notice permitted by law.

Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, VertexY disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted or error-free, that Assessments will be accurate in any particular case, or that use of the Service will prevent fraud or loss. Any availability commitment applies only if stated in a signed agreement.

Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility.

Each party’s total aggregate liability arising out of or relating to these Terms is limited to the fees paid or payable by the Customer to VertexY in the twelve months preceding the event giving rise to the claim. For free access, including the Sandbox, that amount is zero.

Nothing in these Terms limits liability that cannot be limited by law, including for fraud or wilful misconduct.

Indemnity

You will defend and indemnify VertexY against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms, or your business decisions made in reliance on an Assessment.

Suspension and Termination

We may suspend access without prior notice where necessary to protect the Service, other customers, or to comply with law — for example an active security threat or unlawful use. Otherwise we will give reasonable notice and an opportunity to cure.

Either party may terminate for material breach not cured within thirty days of notice. On termination your right to use the Service ends; you may request export of Customer Data for a limited period, after which it is deleted on our normal schedule.

Changes, Governing Law and General Terms

We may update these Terms as the Service changes. When a change is material we will update the effective date above and give notice through the account or by email before it takes effect. Continued use after that constitutes acceptance.

Governing law and venue are set in the signed agreement applicable to your subscription. Where no signed agreement exists, contact support@getvertexy.com before relying on the Service for a regulated workflow.

If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, except to a successor of your business. These Terms, together with any signed agreement and the Privacy Policy, are the entire agreement between us.
